Holistic Business Sanctuary Program Agreement

This Program Agreement ("Agreement") is made and entered by and between:

Dalia Al Mahmood (“The Coach”), creator of the online Program the Holistic Business Sanctuary.

and

Client (“The Client,” as stated below).

By visiting and using the Program site the Client agrees that his participation in the Program and use of Program materials is governed by the following terms and conditions, together with our Terms of Service and Privacy Policy.

1. Program Description
2. The Coach agrees to offer access to the Holistic Business Sanctuary online program, consisting of a 16-week video program, customized mentorship, and accountability coaching. 
3. The Client will gain access to this support via a private online community, so they can connect with other program participants and receive strategic, high-level guidance when needed.
4. The Coach will provide the following services as part of the Program:

• Weekly group coaching calls with a week off each month for integration 
• Lifetime Access to the Program portal including program modules, workbook, supporting tools, and resources, limited to the course content available at the time of enrollment and any subsequent updates to that content.
• Access to a private online community where the Client will receive support and guidance from the Coach and the accountability of its program participants.

2. Enrollment and Payment
3. Enrollment: The Client agrees to enroll in the Program by submitting payment as outlined below.
4. Payment: The total fee for the Program is payable in full at the time of enrollment according to the offer selected by the Client.
5. Payment Method: Payments will be made via credit card or PayPal. In case of payments due by specified dates, The Coach reserves the right to suspend or terminate the Client’s access to the Program in the event of non-payment.
6. Refunds: The Program has a strict No Refund policy. No refunds will be granted at any time, or for any reason due to the nature of the program.
7. Upon receipt of payment, the Client will be granted access to the Program content via the online platform. Lifetime Access to program material will be provided as stated in the Program description.

3. Client Obligations
4. The Client agrees to actively engage with the Program content and follow all instructions and guidelines provided.
5. The Client agrees not to share their login credentials, content, or materials from the Program with any third parties.
6. The Client is responsible for their own internet access and any technology or devices required to participate in the Program. 
7. The information contained in program material is strictly for educational purposes. If Client wishes to apply ideas contained in this material, Client is taking full responsibility for his/her actions.
8. Any violation of Program’s policies regarding content usage shall result in the immediate termination of Client’s enrollment without refund.
9. Intellectual Property
10. The Program’s content, including but not limited to videos, documents, and materials, is the intellectual property of The Coach and is protected by copyright laws.
11. Program content is for personal use only, and may not be sold, recorded, videotaped, shared, taught, given away, or otherwise divulged without the express written consent of the Coach or its designated agent.
12. The Client is granted a limited, non-exclusive license to access and use the content solely for their personal educational use during the duration of the Program. As the license is granted directly to the Client, there is no authorization to sublicense to any other individual and/or company. The Client will have lifetime access to Program material.
13. Confidentiality
14. Client acknowledges that they will be receiving information that is proprietary and confidential to the Coach. Client will not intentionally disclose, and will use their best efforts to prohibit the unintentional disclosure of any confidential or proprietary information concerning the Program. All information furnished to Client by the Coach will be considered confidential or proprietary information, unless otherwise indicated by the Coach.
15. Both parties agree to keep all confidential information received during the term of this Agreement in strict confidence. This includes, but is not limited to, any proprietary materials, business practices, or client data disclosed during the Program.
16. Client agrees that the Coach may use general descriptions of results gained from the Program for promotional purposes on the Coach’s website, social media channels, or marketing materials. The Coach will not disclose sensitive personal or business details such as names without the Client’s explicit written consent. Any additional agreements regarding the use of promotional material shall be made in writing.
17.  While the Client is free to discuss their personal results from our programs and training, they must keep the experiences and statements, oral or written, of all other participants in the strictest of confidence. 
18. In case of Client’s violation of any of the agreements contained in this paragraph the Coach and/or the other program participants will be entitled to injunctive relief to prohibit any such violations to protect against the harm of such violations.
19. Termination
20. The Client may terminate their participation in the Program at any time, subject to the refund policy, as per article 2, letter d.
21. The Coach reserves the right to terminate the Client’s access to the Program in case of breach of this Agreement or failure to comply with the terms outlined.
22. Limitation of Liability
23. The Coach will not be held liable for any direct, indirect, incidental, or consequential damages arising from the Client’s participation in the Program.
24. The Client agrees to hold harmless Coach, its affiliates, and its respective employees, and other independent contractors from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, including attorneys’ fees and costs, arising out of, or relating to, Client’s participation or action under this Agreement.
25. Dispute Resolution
26. Any disputes arising from this Agreement will first be attempted to be resolved through negotiation or mediation.
27. If unresolved, the dispute will be subject to arbitration or legal proceedings as per Kuwait Jurisdiction.
28. Governing Law

This Agreement will be governed by and construed in accordance with the laws of Kuwait.

10. Miscellaneous
11. This Agreement constitutes the entire agreement between the Coach and the Client regarding the Program and supersedes all prior agreements or understandings.
12. No amendment to this Agreement will be valid unless in writing and signed by both parties.
